01Purpose and acceptance
These general terms (the "Terms") govern the contractual relationship between FUNNELD LTD, with operational address at Avenida Diputación 28, Local 1, 26200 Haro, La Rioja, España, Companies House no. 14582937 (hereinafter, "Funneld") and any natural or legal person (the "Customer") who acquires or uses the services offered through https://funneld.net.
Using the website, submitting a form, requesting information or contracting any service implies express, full and unreserved acceptance of these Terms and of the Privacy policy. If you do not agree with them, please do not use the services.
02Definitions
- Service: the Funneld platform for buying qualified leads, together with the delivery of commercial opportunities, support and associated tools.
- Lead: a qualified commercial opportunity delivered by Funneld to the Customer in accordance with the agreed brief.
- Brief: the document of commercial criteria (industry, area, profile, intent, volume, budget, urgency) defined by the Customer with Funneld's support.
- Plan: the contracting modality: one-off pack, recurring plan or Enterprise.
- Panel: the Customer's private environment accessible via personal credentials.
03Services provided
Funneld provides services for identifying, qualifying and delivering commercial leads under criteria defined by the Customer. The specific scope of each engagement is detailed in the proposal, quote or Customer panel and may include, among others:
- Definition and validation of the commercial brief.
- Identification of commercial opportunities (Standard, Pro or Ready leads).
- Qualification, validation and enrichment of each lead.
- Lead delivery through the panel, email or CRM integration.
- Sales support on Pro, Ready and Enterprise plans, subject to applicable terms.
Funneld does not guarantee the final conversion of leads into customers: the result depends on the Customer's commercial activity, offer, team, follow-up and response speed.
04Registration and account
To access the service the Customer must register by providing truthful, complete and up-to-date information. The Customer is responsible for keeping their credentials confidential and for any activity carried out under their account. Funneld may suspend or cancel accounts with false data, suspicious access or uses contrary to these Terms.
05Prices, payments and taxes
The applicable prices are published at funneld.net/precios and confirmed in each proposal. Unless otherwise stated, prices do not include VAT or equivalent taxes, which will be added where applicable.
- Advance payment: packs (Starter, Growth, Close, Custom) are paid upfront.
- Recurring and Enterprise plans: billed monthly in advance, unless otherwise agreed in writing.
- Payment methods: card, SEPA transfer or direct debit, subject to availability.
- Non-payment: non-payment entitles Funneld to suspend the service and claim the outstanding amount plus applicable statutory interest.
06Quality policy and replacements
Funneld applies objective criteria for the delivery of qualified leads. If a delivered lead does not meet the criteria agreed in the brief, the Customer may report the incident from their panel within a maximum of 14 calendar days from delivery.
Once the incident has been reviewed and the breach verified, Funneld will replace the lead in accordance with the contracted plan's terms. Replacement is the preferred remedy; refunds will not apply except in exceptional cases agreed in writing.
07Permitted use and prohibitions
The Customer undertakes to use the service in compliance with applicable law, good faith and these Terms. The following is expressly prohibited:
- Reselling, sublicensing, redistributing or transferring leads to third parties without prior written authorisation.
- Carrying out spam practices or unsolicited commercial communications contrary to applicable e-commerce laws, GDPR or other applicable regulations.
- Using leads for purposes other than those provided in the brief.
- Engaging in practices that compromise the security, integrity or availability of the service.
- Infringing the intellectual or industrial property rights of Funneld or third parties.
Failure to comply with these obligations entitles Funneld to suspend or cancel the service without right to a refund.
08Intellectual and industrial property
All content on the website, trademarks, logos, designs, source code, dashboards, qualification methodologies, commercial materials and other elements are owned by FUNNELD LTD or its licensors. The Customer's use of them is strictly limited to the purpose of the contracted service.
The Customer grants Funneld a non-exclusive, free and limited licence to use its company name, logo and public success stories for commercial reference purposes, unless expressly opposed in writing.
09Confidentiality
Both parties undertake to keep confidential any commercial, technical or strategic information exchanged in the course of the contractual relationship during its term and for 3 years thereafter. Public information, information previously known or disclosed by legal mandate is not considered confidential.
10Data protection
The processing of personal data in the context of the service is governed by the Privacy policy and, where applicable, by the Data Processing Agreement signed between the parties in accordance with article 28 of the GDPR.
11Limitation of liability
Funneld shall be liable for direct damages arising from breaches of these Terms, with a maximum cap equal to the amounts actually paid by the Customer in the 12 months preceding the event giving rise to liability.
Funneld shall not be liable for indirect damages, loss of profit, loss of opportunity, loss of Customer data attributable to its own operations, or force majeure. This limitation does not apply to wilful misconduct or proven gross negligence.
12Duration and termination
One-off packs are extinguished upon full delivery. Recurring plans are monthly and renew automatically, unless cancelled with 15 days' notice before the next renewal. Enterprise is governed by the term agreed in the proposal.
Funneld may terminate the agreement without notice in the event of non-payment, unlawful use of the service, serious breach or requirement from a competent authority.
13Force majeure
Neither party shall be liable for breaches arising from force majeure (catastrophes, armed conflicts, large-scale cyber-attacks, governmental decisions that prevent the provision of the service, widespread network or power failures). The affected party will notify the situation as soon as possible and will adopt reasonable measures to mitigate the impact.
14Modifications
Funneld may modify these Terms to adapt them to regulatory changes, service improvements or new features. Changes will be published on this page with their effective date. If the changes substantially affect the rights of a Customer with an existing contract, they will be communicated by email with reasonable prior notice.
15Governing law and jurisdiction
These Terms are governed by Spanish law and, where applicable, by European Union law. To resolve any dispute arising from their interpretation or execution, the parties expressly submit, waiving any other jurisdiction that may correspond to them, to the Courts and Tribunals of Logroño (La Rioja, Spain), except where mandatory regulation provides otherwise.
